Terms of Service

Welcome to Spronta. These Terms of Service ("Terms") govern your access to and use of the Spronta website (spronta.com), its documentation, and any current or future hosted Spronta services (collectively, the "Service"), provided by Spronta Ltd ("Spronta", "we", "us", or "our").

By using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.

1. The Service

Spronta is a hosted AI optimisation studio for marketing sites. You describe what you want in chat and Spronta builds it — banners, popups, lead capture forms, calculators, and landing pages. You can preview it against your real page, then publish it to your site behind a single script tag. Spronta also measures how what you publish performs, so you can see which pages and variants convert, and includes technical-SEO and Generative Engine Optimization (GEO) analysis.

You can use Spronta through the app at app.spronta.com, and through our command-line interface (CLI), our Model Context Protocol (MCP) server for use with AI agents, and our desktop application. All of them connect to our hosted services and require an account.

These Terms cover the spronta.com website and documentation, the Spronta app and our other hosted subdomains of spronta.com and spronta.app, the CLI, MCP server, and desktop app, and everything you build, publish, or serve through them.

We may update, expand, or modify the Service over time. We will give you reasonable notice of any changes that materially affect your use.

2. Accounts

Using Spronta requires an account. This section applies however you access the Service.

2.1 Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. Notify us immediately at hello@spronta.com if you suspect unauthorised access.

2.2 Eligibility

You must be at least 18 years old to use Spronta. By using it, you confirm that you meet this requirement.

2.3 One account per person

Free hosted accounts are limited to one per individual or organisation. We reserve the right to close duplicate accounts.

3. Plans and Billing

3.1 Free plan

Our free tier has defined resource limits and may be used for commercial purposes. We may change free tier limits with 30 days' notice and will not retroactively charge for usage incurred under a free plan.

3.2 Paid plans

Any paid plans are billed monthly or annually in advance. All prices are listed on our pricing page and exclude VAT where applicable. VAT will be added at checkout for customers in applicable jurisdictions.

3.3 Overages

If you exceed your plan limits, we will notify you. We will not suspend your account or charge overage fees without your prior consent. You may choose to upgrade your plan or reduce usage.

3.4 Annual plans

Annual plans are paid upfront and are non-refundable after 14 days, except where required by law.

3.5 Cancellation

You may cancel a subscription at any time from your account dashboard. Your plan will remain active until the end of the current billing period. We do not offer pro-rata refunds for unused time on monthly plans.

3.6 Refunds

If you are unsatisfied within your first 14 days on a paid plan, contact us and we will issue a full refund, no questions asked. We reserve the right to decline refund requests where usage indicates the Service has been used in a manner inconsistent with a genuine evaluation.

3.7 Late payment

If payment fails, we will retry and notify you. Accounts with failed payments may have hosted functionality restricted after 14 days of non-payment. We will not delete your data for at least 30 days following account suspension.

4. Acceptable Use

Our Acceptable Use Policy forms part of these Terms and sets out in detail what you may and may not build, publish, or serve with Spronta. Breaching it is a breach of these Terms.

4.1 Permitted use

You may use Spronta to audit and analyse websites for any lawful purpose, including commercial use. Spronta is a tool for crawling sites you own or are authorised to test.

4.2 Responsible crawling

You must not use Spronta to:

  • Crawl, scan, or probe websites or systems you do not own or have permission to test
  • Conduct denial-of-service attacks or otherwise overload, disrupt, or degrade any website or system
  • Circumvent access controls, authentication, rate limits, or technical measures designed to restrict access
  • Collect personal data in violation of applicable law, or for spam, harassment, or other unlawful purposes
  • Bypass or ignore a site's stated crawling preferences in a manner that is unlawful or abusive

4.3 Prohibited behaviour (hosted services)

Where you use a hosted Service, you must not:

  • Resell or white-label access without our written permission
  • Attempt to reverse engineer, decompile, or extract source code from any part of the Service
  • Circumvent or tamper with rate limits, access controls, or billing mechanisms
  • Use the Service in a way that causes disproportionate load or disrupts other customers

4.4 Free account abuse

Free accounts are limited to one per individual or organisation (see 2.3). You must not create or use more than one free account — whether manually, by automated means, or through others acting on your behalf — in order to obtain usage, credits, or trial benefits beyond those allocated to a single account, or otherwise to avoid upgrading to a paid plan or purchasing additional credits.

In particular, you must not:

  • Register multiple free accounts using different email addresses, aliases, disposable or temporary email services, or variations of the same address
  • Register free accounts in the name of another person or organisation, or ask others to register on your behalf, in order to obtain additional usage or credits
  • Pool, share, or transfer accounts, credits, or usage allowances between accounts in order to exceed the limits of a single free account
  • Create a new free account after we have suspended or closed a previous account of yours
  • Otherwise take steps designed to obtain free usage or credits you would not be entitled to on a single account

We may use technical and account signals to identify accounts that appear to be related. Where we identify accounts created or used in breach of this section, we may close them, revoke or reset any credits or usage allowances obtained through them, and require you to upgrade or purchase credits in order to continue using the Service.

4.5 Enforcement

We may investigate suspected violations, and we may suspend, restrict, or terminate access to the Service, or close any account, at any time and in our sole discretion, where we believe conduct breaches these Terms. Where practical, we will give you notice and an opportunity to remedy the issue before taking action. For serious or repeated violations, and for the account abuse described in 4.4, we may act immediately and without prior notice.

5. Your Content

5.1 Ownership

You retain full ownership of everything you create, configure, or generate through the Service — the widgets, popups, forms, calculators, and landing pages you build, the copy and images within them, your crawl results and reports, and the data collected through what you publish (together, "Your Content"). This includes output generated by our AI features once you publish it.

5.2 Licence to operate the Service

You grant us a limited, non-exclusive, royalty-free licence to store, process, and deliver Your Content solely as necessary to provide the Service to you. Where you publish something, that licence extends to serving it to visitors of your site. This licence ends when you delete the content or close your account.

5.3 Publishing to your site

When you publish, we host what you have built and serve it to visitors of the sites you have installed Spronta on. You must own those sites or be authorised to modify them. You are responsible for what appears on your site, for the effect it has on your visitors, and for any claim arising from it.

5.4 Data you collect from your visitors

Where what you publish collects personal data from your visitors — an email address in a lead capture form, for example — you are the data controller for that data and we process it on your behalf under section 6. You are responsible for having a lawful basis, for giving your visitors clear notice, and for obtaining any consent the law requires. The Acceptable Use Policy sets out what you must not collect through the Service.

5.5 Your responsibility

You are responsible for ensuring that Your Content and your use of the Service comply with these Terms, the Acceptable Use Policy, and applicable law — including advertising, consumer protection, and data protection rules. We are not obliged to review Your Content, we do not pre-screen it, and we do not endorse it.

5.6 Deletion

Where we hold Your Content in a hosted Service, we will remove it from our systems within 30 days of you deleting it or closing your account. Copies may persist in backups for up to 90 days, after which they will be permanently deleted.

6. Data Protection and Privacy

6.1 Privacy Policy

Our Privacy Policy explains how we collect, use, and protect personal data. By using the Service, you agree to our Privacy Policy.

6.2 GDPR

If you are based in the UK or European Economic Area, or process personal data of UK or EEA residents using a hosted Service, our Data Processing Agreement ("DPA") applies. You can request a copy at hello@spronta.com.

6.3 Your obligations

If your use of the Service involves personal data relating to third parties, you are responsible for having a lawful basis to process that data and for complying with applicable data protection law.

7. Uptime and Availability

7.1 Availability

For any hosted Service, we target high availability and operate on a commercially reasonable basis to achieve this. We do not offer contractual SLAs.

7.2 Scheduled maintenance

We will provide advance notice of scheduled maintenance that may affect availability, and aim to schedule it during low-traffic periods.

7.3 No guarantees

The Service is provided on a commercially reasonable basis. We do not guarantee uninterrupted or error-free service.

8. Intellectual Property

8.1 Spronta IP

The Service, including the design, documentation, trademarks, brand assets, and all software, is owned by Spronta Ltd and protected by intellectual property law. Nothing in these Terms grants you any rights in our intellectual property except as expressly stated.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.

9. API and SDK Usage

This section applies to any hosted API or SDK we make available.

9.1 API access

Access to a hosted Spronta API is granted via API keys issued to your account. You are responsible for keeping your API keys confidential and for all usage that occurs under your keys. You must not share API keys publicly, embed them in client-side code, or commit them to public repositories.

9.2 Compromised credentials

If you believe an API key has been compromised, rotate it immediately via your account dashboard and notify us at hello@spronta.com. We are not liable for usage or charges incurred as a result of unauthorised use of your credentials prior to notification.

9.3 Rate limits

A hosted Service may operate rate limits per plan tier, as documented. You must not attempt to circumvent rate limits. If you have a legitimate need for higher limits, contact us to discuss an appropriate arrangement.

9.4 SDK licence

We may provide SDKs and client libraries under separate licence terms stated in the relevant repository. Those licence terms govern your use of the SDK code itself. These Terms govern your use of the Service the SDKs connect to.

9.5 No competitive use or public benchmarking

You must not use hosted API access to build, train, benchmark, or improve a product or service that directly competes with our hosted offering. You must not publish or distribute performance benchmarks or comparative analyses of a hosted Service without our prior written consent.

10. Beta and Early Access Features

10.1 Beta features

We may make features available as "beta", "preview", "experimental", or similarly labelled functionality. Beta features are provided for evaluation and are not subject to the same availability, reliability, or support commitments as generally available features.

10.2 No warranties on beta features

Beta features are provided without warranty of any kind. We are not liable for any data loss, service disruption, or other harm arising from your use of beta features. You should not rely on beta features where reliability is critical unless you have accepted that risk.

10.3 Changes and withdrawal

We may modify, suspend, or permanently withdraw any beta feature at any time without notice and without liability. Graduation of a beta feature to general availability, or its withdrawal, does not entitle you to any refund or compensation.

10.4 Feedback on beta features

We may ask for feedback on beta features. Any feedback you provide is subject to the feedback licence in §8.2.

11. AI-Powered Features

11.1 What this covers

Spronta may offer features that use AI, such as plain-English explanations of findings or AI-assisted guidance. Some of these may be powered by third-party AI model providers.

11.2 Nature of AI outputs

AI-generated and AI-assisted outputs are provided as-is. They may be inaccurate, incomplete, or unsuitable for your purposes. You are responsible for reviewing and validating any AI outputs before relying on them, particularly where accuracy matters.

11.3 Third-party AI providers

Where an AI feature is powered by a third-party provider, the relevant inputs may be transmitted to that provider subject to their terms. We will identify which providers are used in our documentation.

12. Copyright and DMCA

12.1 Respect for intellectual property

Spronta respects intellectual property rights and expects users to do the same. You must not use the Service to store or deliver content that infringes the copyright, trademark, or other intellectual property rights of any third party.

12.2 Copyright infringement notices

If you believe that content stored or delivered through a hosted Service infringes your copyright, you may submit a notice to our designated agent:

Your notice must include:

  • Identification of the copyrighted work you claim has been infringed
  • Identification of the allegedly infringing material and its location on our Service (e.g. the URL)
  • Your contact information (name, address, telephone number, and email address)
  • A statement that you have a good faith belief that the use is not authorised by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on their behalf
  • Your physical or electronic signature

We will act on valid notices promptly, which may include removing or disabling access to the identified content.

12.3 Counter-notices

If you believe content was removed in error, you may submit a counter-notice to hello@spronta.com containing:

  • Identification of the removed content and its former location
  • A statement under penalty of perjury that you have a good faith belief the content was removed as a result of mistake or misidentification
  • Your contact information and consent to jurisdiction of the courts of England and Wales
  • Your physical or electronic signature

Upon receipt of a valid counter-notice, we may restore the content after notifying the original complainant.

12.4 Repeat infringers

We will terminate access for users who are found to be repeat infringers of third-party intellectual property rights.

13. Publicity and Customer References

13.1 Our use of your name and logo

If you are a paying customer of a hosted Service, you grant us permission to identify you as a Spronta customer, including using your company name and logo in our marketing materials, website, case studies, investor materials, and press releases.

We will always use your brand assets in accordance with any brand guidelines you make publicly available or share with us. If no guidelines are provided, we will use your name and logo in good faith in a manner consistent with how you present your own brand.

13.2 Opting out

You may opt out at any time by contacting us at hello@spronta.com. We will remove references to your brand from new materials promptly following your request. We are not required to recall or destroy materials already in circulation.

13.3 No endorsement implied

Our use of your name or logo does not imply your endorsement of Spronta. We will not represent that you endorse us without your explicit written consent.

13.4 Case studies

If we wish to publish a detailed case study featuring your company, we will seek your prior written approval for that specific content before publication.

14. Confidentiality

Each party may receive confidential information from the other. Both parties agree to keep such information confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation does not apply to information that is publicly available, already known, or independently developed.

15. Security

15.1 Our security obligations

For any hosted Service, we implement and maintain reasonable technical and organisational security measures appropriate to the nature of the Service. We will notify you promptly if we become aware of a security breach that affects Your Content.

15.2 Responsible vulnerability disclosure

If you discover a potential security vulnerability in the Service, we ask that you report it responsibly by emailing hello@spronta.com before disclosing it publicly. We commit to acknowledging your report within 5 business days and working with you in good faith to resolve the issue before any public disclosure. We will not take legal action against researchers who act in good faith in accordance with this policy.

15.3 Your security obligations

You are responsible for implementing appropriate security measures to protect any account credentials and API keys you hold.

16. Disclaimers and Statutory Rights

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT RESULTS OBTAINED THROUGH THE SERVICE (INCLUDING AUDIT FINDINGS AND SCORES) WILL BE ACCURATE OR COMPLETE, OR THAT ANY ERRORS WILL BE CORRECTED.

Nothing in these Terms is intended to exclude or restrict any rights you have under the Unfair Contract Terms Act 1977, the Consumer Rights Act 2015, or any other applicable UK consumer protection legislation that cannot lawfully be excluded. If you are a consumer, your statutory rights are not affected by these Terms.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WHERE YOU USE THE SERVICE FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED POUNDS (£100).

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.

18. Indemnification

YOU AGREE TO INDEMNIFY AND HOLD HARMLESS SPRONTA LTD, ITS OFFICERS, EMPLOYEES, AND CONTRACTORS FROM ANY CLAIMS, DAMAGES, LOSSES, OR EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING FROM: (A) YOUR USE OF THE SERVICE IN BREACH OF THESE TERMS; (B) YOUR CONTENT; OR (C) YOUR VIOLATION OF ANY THIRD-PARTY RIGHTS OR APPLICABLE LAW.

19. Term and Termination

19.1 Term

These Terms apply from the date you first use the Service and continue until you stop using it or your account is closed.

19.2 Termination by you

You may stop using the Service at any time, and close any account via your account settings or by contacting us.

19.3 Termination by us

We may suspend or terminate your access to a hosted Service if you breach these Terms, if required by law, or if we discontinue the Service. Except for serious violations, we will give you at least 30 days' notice before terminating a paid account.

19.4 Effect of termination

Upon termination, your right to access a hosted Service ceases. We will retain Your Content for 30 days following termination to allow you to export it, after which it will be deleted.

19.5 Survival

Clauses relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.

20. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a notice on the Service at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, stop using the Service before the changes take effect.

21. Formation of Contract and Electronic Acceptance

21.1 How the contract is formed

These Terms constitute a legally binding contract between you and Spronta Ltd. The contract is formed when you: (a) click a button or checkbox indicating your acceptance of these Terms; (b) create an account; or (c) otherwise use the Service, whichever occurs first.

21.2 Electronic acceptance

You acknowledge that your electronic acceptance of these Terms, whether by clicking "I agree", "Sign up", or similar, or by using the Service, constitutes a valid and binding agreement under English contract law, and is as legally effective as a handwritten signature.

21.3 Capacity

By accepting these Terms, you confirm that you have legal capacity to enter into a binding contract and, if acting on behalf of an organisation, that you have authority to bind that organisation.

22. Notices

22.1 Notices to you

We will send notices to you at the email address associated with your account, or by a notice on the Service. Notices are deemed received 24 hours after sending, provided we do not receive a delivery failure notification. It is your responsibility to keep your account email address current.

22.2 Notices to us

All notices to us, including legal notices, must be sent by email to hello@spronta.com. Legal notices are deemed received on the next business day following confirmed delivery.

22.3 Language

All notices and communications under these Terms shall be in English.

23. Governing Law and Dispute Resolution

23.1 Governing law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.

23.2 Informal resolution first

Before initiating any formal dispute process, both parties agree to attempt to resolve the dispute informally. The party raising the dispute must send a written notice to the other describing the nature of the dispute and the remedy sought. Both parties agree to negotiate in good faith for at least 30 days from receipt of that notice before proceeding to arbitration. This requirement does not apply where a party seeks urgent interim or injunctive relief.

23.3 Binding arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA), which rules are incorporated by reference into this clause.

  • Seat of arbitration: London, England
  • Language: English
  • Number of arbitrators: One (1), unless the amount in dispute exceeds £250,000, in which case either party may request a panel of three (3)
  • Appointing authority: The LCIA

The arbitrator's award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction. The parties agree to keep arbitration proceedings and any award confidential, except as required by law or to enforce an award.

23.4 Exceptions to arbitration

Notwithstanding the above, either party may seek urgent interim or injunctive relief from the courts of England and Wales without first exhausting the informal resolution process or arbitration procedure. This does not waive either party's right to arbitrate the underlying dispute.

23.5 Consumer carve-out

If you are a consumer (an individual using the Service for personal, non-commercial purposes), you are not bound by the arbitration clause and retain the right to bring proceedings in the courts of England and Wales. Nothing in these Terms affects your statutory rights as a consumer under applicable UK law, including the Consumer Rights Act 2015.

23.6 No class proceedings

All disputes must be brought on an individual basis. Neither party may bring or participate in any class, collective, or representative action or arbitration arising out of or relating to these Terms or the Service.

23.7 US customers — notice and right to opt out of arbitration

If you are located in the United States, you have the right to opt out of the binding arbitration clause in §23.3 and the no class proceedings clause in §23.6 by sending written notice to hello@spronta.com within 30 days of first accepting these Terms. Your notice must include your full name, account email address, and a clear statement that you are opting out of arbitration. If you opt out, disputes will be resolved in the courts of England and Wales in accordance with §23.1.

If you do not opt out within 30 days, you will be deemed to have accepted the arbitration clause. We will maintain a record of opt-out notices received.

24. Export Controls

24.1 Compliance with export laws

The Service may be subject to export control laws and regulations, including the United States Export Administration Regulations (EAR), the Office of Foreign Assets Control (OFAC) sanctions programmes, and equivalent laws in the United Kingdom and European Union. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Service.

24.2 Your representations

By using the Service, you represent and warrant that:

  • You are not located in, and are not a national or resident of, any country subject to a comprehensive US, UK, or EU trade embargo, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine
  • You are not listed on any US government restricted party list, including the OFAC Specially Designated Nationals list, the US Commerce Department Denied Persons List, or the US State Department Debarred Parties list
  • You will not use the Service in violation of applicable export control or sanctions laws

24.3 Our right to restrict access

We reserve the right to restrict or terminate access to a hosted Service for any user or region where we determine, in our reasonable judgment, that continued access would violate applicable export control or sanctions laws. We will not be liable for any loss or damage arising from such restrictions.

25. General

25.1 Entire agreement

These Terms, together with our Privacy Policy and any applicable DPA, constitute the entire agreement between you and Spronta Ltd regarding the Service.

25.2 Severability

If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable. The remaining provisions continue in full force.

25.3 No waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

25.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

25.5 Force majeure

Neither party shall be liable for delays or failures caused by circumstances beyond their reasonable control, including natural disasters, government actions, or infrastructure failures.

25.6 Third-party rights

These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999 unless expressly stated.
